Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you," "Customer") and Webfloater, LLC ("Webfloater," "we," "us") governing your access to and use of Webfloater's websites, dashboard, and services (collectively, the "Services"). By creating an account, purchasing a plan, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Webfloater provides managed cloud hosting, domain registration, email services, and related products. Hosting is delivered on third-party cloud infrastructure (such as Hetzner, DigitalOcean, AWS, Vultr, and Linode), domains through our registrar partners, and email through providers including Google Workspace and Microsoft 365. We manage the platform, provisioning, and support; the underlying infrastructure is operated by these providers.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current information and to keep it updated. You are responsible for all activity under your account and for safeguarding your login credentials, including enabling two-factor authentication where available. Notify us immediately of any unauthorized use at support@webfloater.com.

3. Plans, Billing & Renewals

• Subscriptions. Hosting plans are billed as recurring monthly subscriptions at the prices shown at checkout. Add-ons, domains, and email are billed per their stated terms.
• Payment. Payments are processed by Stripe. You authorize us to charge your payment method on a recurring basis until you cancel.
• Auto-renewal. Subscriptions renew automatically each billing cycle unless cancelled before the renewal date.
• Proration. If you upgrade or downgrade mid-cycle, charges are prorated automatically.
• Taxes. Prices are exclusive of taxes. You are responsible for any applicable sales tax, VAT, or GST, which may be added at checkout.
• Price changes. We may change prices with at least 30 days' notice before they apply to your next renewal.
• Failed payments. If a payment fails, we may retry and may suspend or terminate Services if the balance remains unpaid.

4. Refunds

Domain registrations, transfers, renewals, and per-mailbox email charges are non-refundable once provisioned. Hosting plan fees are non-refundable except where required by law or expressly offered in writing. Because billing is prorated, cancelling stops future charges; it does not refund the current period unless stated otherwise.

5. Cancellation, Suspension & Termination

You may cancel at any time from your dashboard; your Services remain active until the end of the paid period. We may suspend or terminate your account, with or without notice, for: (a) violation of these Terms or the Acceptable Use Policy; (b) non-payment; (c) activity that threatens the security, stability, or reputation of our platform or other customers; or (d) as required by law. Upon termination, your right to use the Services ends and we may delete your data as described in Section 7.

6. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy (AUP), incorporated by reference. You are responsible for all content and activity on your servers, including that of your end users.

7. Your Data & Backups

You retain ownership of your content and data. While we provide automated backups as a convenience, you are solely responsible for maintaining your own independent backups. We are not liable for data loss. Following account termination, we may permanently delete your data and servers after a reasonable grace period; export your data before cancelling.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted or error-free Services. The Services may be unavailable due to maintenance, provider outages, or factors outside our control. Any service-level commitments, if offered, will be stated separately in writing.

9. Third-Party Services

The Services rely on third parties (cloud providers, registrars, payment processors, and email providers). Your use of those components may be subject to their terms, and we are not responsible for their acts, omissions, or outages.

10. Intellectual Property

The Webfloater platform, software, branding, and content are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, resell, reverse-engineer, or create derivative works from our platform except as expressly permitted.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be secure, error-free, or uninterrupted.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBFLOATER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Webfloater and its affiliates, officers, and employees from any claims, damages, or expenses arising out of your content, your use of the Services, or your violation of these Terms or applicable law.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in the State of Texas (Denton County), and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, notified to you. Continued use of the Services after changes take effect constitutes acceptance.
